由華人博士發(fā)起并領(lǐng)導(dǎo)的SPAC 赴美IPO 擬美股募資3億美元

當(dāng)?shù)貢r(shí)間5月3日，SPAC Prospect Energy Holdings Corp.(以下簡(jiǎn)稱Prospect Energy) 向美國(guó)證券交易委員會(huì)(SEC)提交IPO，擬以AMGSU為股票代碼，申請(qǐng)?jiān)诩{斯達(dá)克上市。

招股書(shū)顯示，該公司計(jì)劃以每股10美元的價(jià)格，發(fā)行3000萬(wàn)個(gè)單位(每個(gè)單位由一股普通股和一份可贖回認(rèn)股權(quán)證組成)，預(yù)計(jì)募資3億美元。

Prospect Energy是一特殊目的收購(gòu)公司，由華人博士Jeffrey Jing Xie領(lǐng)導(dǎo)，該公司收購(gòu)標(biāo)的不限制區(qū)域和行業(yè)，但是重點(diǎn)關(guān)注亞太地區(qū)(不含中國(guó))、加拿大和澳大利亞，行業(yè)重點(diǎn)關(guān)注清潔能源，特別是碳、氫和可再生能源的使用。其他領(lǐng)域可能包括儲(chǔ)能、分布式能源、零排放運(yùn)輸、碳利用、低碳或無(wú)碳工業(yè)應(yīng)用和可持續(xù)制造。

Prospect Energy的發(fā)起人為Mejin Energy Holdings Ltd.，其受益人和管理人為華人博士Jeffrey Jing Xie。Jeffrey Jing Xie為北京居民，于1994年在美國(guó)南加州大學(xué)獲得博士學(xué)位。

Jeffrey Jing Xie 簡(jiǎn)介

首席執(zhí)行官、董事長(zhǎng)兼執(zhí)行董事。2000年以來(lái)，他擔(dān)任美國(guó)標(biāo)準(zhǔn)金融集團(tuán)(Standard Financial Group)全球戰(zhàn)略委員會(huì)高級(jí)顧問(wèn)、北美和環(huán)太平洋地區(qū)首席投資官。他在開(kāi)始亞洲業(yè)務(wù)方面發(fā)揮了重要作用，從獲得銀行牌照到擴(kuò)大其在香港的銀行分支機(jī)構(gòu)，同時(shí)為大量機(jī)構(gòu)投資者和高凈值個(gè)人客戶提供服務(wù)。1994年至2020年，他擔(dān)任香港中信金融集團(tuán)董事兼高級(jí)副總裁，負(fù)責(zé)監(jiān)督大中華區(qū)金融市場(chǎng)的發(fā)展。他曾在美國(guó)和香港的一些上市公司任職，目前是北美私人銀行協(xié)會(huì)的成員。從1977年到1988年，他是中國(guó)科技大學(xué)研究生課程的教授，主要專注于金融工程和全球業(yè)務(wù)發(fā)展。1994年獲美國(guó)南加州大學(xué)博士學(xué)位。

Jeffrey Jing Xie, Chief Executive Officer, Chairman and Executive Director. Mr. Xie has served as the Senior Advisor of Global Strategy Committee and Chief Investment Officer, North America and Pacific Rim Region of Standard Financial Group, USA since 2000. Mr. Xie was instrumental in starting the Asian business from obtaining the banking license to expanding its bank branches in Hong Kong while serving a large number of institutional investors and high net worth individual clients. From 1994 to 2020, Mr. Xie served as Director and Senior Vice President of Hong Kong Sinic Financial Group, monitoring Greater China financial market development. Mr. Xie has served on a number of public companies in the United States and Hong Kong and is currently a member of North American Private Banks Association. From 1977 through 1988, Mr. Xie was a professor at China Technology University for a post graduate program with major focus on financial engineering and global business development. He received his PHD degree from South California University in 1994.
